APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
The Executive Compensation and Development Committee (the "ECDC") of the Board
of Directors of the Company pursuant to a written action by unanimous consent,
dated December 22, 2008, amended the Solutia Inc. 2008 Annual Incentive Plan
(the "2008 AIP"). The 2008 AIP was amended to set a payment date(s) for purposes
of Section 409A of the Internal Revenue Code and to provide the discretion to
pay all or part of the 2008 AIP award in cash or common stock of the Company.
