On December 18, 2008, the Company filed with the Secretary of State of the State of New York a Certificate of Amendment of the Certificate of Incorporation establishing the terms of the Preferred Shares to be issued to the United States Department of the Treasury as described in the Company's Current Report on Form 8-K dated December 9, 2008. A copy of the Certificate of Amendment is an exhibit to this Current Report on Form 8-K and is incorporated by reference into this Item 5.03.
