ITEM 8.01 OTHER EVENTS.

On December 24, 2008, Atlantic Coast Federal Corporation announced that its Board of Directors reduced the regular quarterly cash dividend to $0.09 per common share from $0.11 per common share. The dividend will be paid on January 26, 2009, to all stockholders of record as of January 9, 2009. The full text of the press release is set forth in Exhibit 99.1.
