Year.
Effective December 17, 2008, the Board of Directors of Dana Holding Corporation
("Dana") amended Dana's Bylaws. A copy of the amended Bylaws is attached as
Exhibit 3.2. The amendments relate primarily to the requirements for advance
notice and additional information that a shareholder must provide when making a
director nomination or proposal at Dana's annual meeting of shareholders.
