On December 19, 2008, SXC Health Solutions Corp. (the "Company"), through a
newly formed indirect wholly-owned subsidiary, acquired the assets of Zynchros,
Inc., a privately-owned formulary management solutions business headquartered in
Seattle, Washington, in an all cash transaction. On December 22, 2008, the
Company issued a press release announcing the acquisition, a copy of which is
attached hereto as Exhibit 99.1.
