Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 16, 2008, the Board of Directors ("Board") of Strategic Diagnostics Inc. (the "Registrant") was informed that Grover Wrenn and Morton Collins, whose terms on the Board will expire at the annual meeting of stockholders to be held in 2009, have chosen not to stand for re-election at that time. Messrs. Wrenn and Collins have informed the Board that their decisions are not the result of any disagreement with the Registrant. In addition, Herbert Lotman, whose term will expire at the annual meeting of stockholders to be held in 2010, will retire at the time of the 2009 annual meeting in accordance with the Board's requirement that directors retire the Board not later than the annual meeting of stockholders immediately following their 75th birthday.
