(c) On December 16, 2008, the Board of Directors of GS Financial Corp. (the "Company") appointed Stephen F. Theriot, as Senior Vice President and Chief Financial Officer of the Company and its wholly owned subsidiary, Guaranty Savings Bank (the "Bank"). Previously, Mr. Theriot, age 35, served as the Vice President and Chief Operating Officer of the Bank since February 2007 and assumed the additional duties of principal financial officer of the Company and the Bank in September 2008. Mr. Theriot previously served as Controller of Mutual Savings and Loan Association, in Metairie, Louisiana. Prior thereto, Mr. Theriot served as a Senior Auditor in the Audit and Assurance Business Services Department of Ernst & Young LLP for three years. Mr. Theriot is a licensed certified public accountant and received his Bachelor of Science in Accounting from Louisiana State University. There are no family relationships between any director or executive officer of the Company and Mr. Theriot, and there are no other disclosures with respect to Mr. Theriot required pursuant to Items 401(b), 401(d) or 404(a) of Regulation S-K of the SEC.
