(e). Appointment of Certain Officers; Compensation Arrangements of Certain
Officers.
On December 16, 2008, Frontier Oil Corporation ("the Company") acted upon the
authorization of its Compensation Committee, which met on November 11, 2008, to
notify Mr. James R. Gibbs, Chairman of the Board, President and Chief Executive
Officer of the Company, that his outstanding Restricted Stock in the amount of
139,905 shares will vest on an accelerated basis on December 30, 2008 due to his
retirement from the positions of President and Chief Executive Officer.
