Item 1.01 Entry into a Material Definitive Agreement.
On December 11, 2008, National Dentex Corporation ("National Dentex") and its wholly-owned subsidiaries entered into Amendment No. 4 to the Second Amended and Restated Loan Agreement (the "Amendment") with Bank of America, N.A. ("Bank of America") that further amended the Second Amended and Restated Loan Agreement with Bank of America, dated November 7, 2006, as amended (the "Second Agreement"). The purpose of the Amendment was to: (i) extend the maturity date of the revolving line of credit to November 7, 2011 from the previous maturity date of November 7, 2009, making it coterminous with the existing term loan;
(ii) amend certain interest rate terms and definitions, which included an increase in the applicable margins; and (iii) amend and restate certain financial covenants, including the definition of "maximum consolidated total funded debt to consolidated EBITDA", which increased this allowable ratio for 2009. There were no other material changes to the Second Agreement. The text of the Amendment is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
