On December 16, 2008, the Company issued a press release revising its first quarter outlook and announcing a pretax charge to earnings associated with actions to lower its cost structure. The text of this press release is furnished as Exhibit 99.1 and shall not be deemed to be filed.

On December 16, 2008, the Company published the Quarter-to-Date Sales Update, including consolidated sales and product volumes for October and November 2008 on its website at http://www.airproducts.com/Invest/financialnews/current.htm. A copy is attached as Exhibit 99.2 to this Form 8-K. The Quarter-to-Date Sales Update is being furnished and shall not be deemed to be filed.
