Item 1.01 Entry into a Material Definitive Agreement.

On December 12, 2008, Micronetics, Inc. entered into an amendment to its credit facility with RBS Citizens National Association, successor by merger to Citizens Bank New Hampshire. The amendment extended the term of the revolving line of credit by two years. The new expiration date of the revolving line of credit is March 30, 2012.
