Item 8.01 Other Events.

On December 11, 2008, Roberts Realty Investors, Inc. mailed a letter from its President and Chief Executive Officer, Mr. Charles S. Roberts, to its shareholders regarding the company's plans for declaring an additional distribution to shareholders to maintain its status as a real estate investment trust. A copy of the letter is attached as Exhibit 99.1 to this Current Report on Form 8-K.
