(b) Mike Tsurumi, a Director of the Company resigned voluntarily from the Board of Directors effective December 8, 2008. Mr. Tsurumi's letter did not mention any circumstances surrounding his resignation nor any disagreements with the Company.

(d) On December 8, 2008, the Board of Directors of the Company appointed Mr. Philip M. Verges to fill the vacancy created by Mr. Tsurumi's departure.
