Amendments to Articles of Inc. or Bylaws; Change in Fiscal Year
(a) On December 11, 2008, the Board of Directors of Burlington Northern Santa Fe
Corporation (the "Company") unanimously approved an amendment and restatement of
the Company's By-Laws, which was effective immediately upon approval. Article
II, Section 2 of the By-Laws was amended to modify certain provisions related to
the calling of special meetings at the request of stockholders. The ownership
percentage required for stockholders to call a special meeting was reduced from
51% of all issued and outstanding common shares of the Company to 25%. In
addition, informational and procedural requirements were added to Article II,
Section 2. Finally, related amendments were made to Article II, Sections 3 and
4.
