(b) On December 8, 2008, Francis J. Sehn notified the Nominating and Governance Committee of Pulte Homes, Inc. (the "Company") that he would resign as a member of the Board of Directors of the Company, effective December 31, 2008. Mr. Sehn intends to continue to serve as a director until such time. There was no disagreement between Mr. Sehn and the Company that led to Mr. Sehn's resignation.
