On December 10, 2008, SM&A, a Delaware corporation, issued a press release
announcing a special meeting date of December 29, 2008 has been established for
the Company's stockholders to consider and vote upon the proposal to approve and
adopt the previously announced merger of the Company with an affiliate of
Odyssey Investment Partners.
A copy of the press release is furnished as Exhibit 99.1 to this report.
