Furniture Company, Inc. (the "Company") approved the following base salary for
2009 and 2010 and bonus potential for 2009 for each of the following executive

On December 9, 2008, the Committee approved an amended employment agreement with Douglas I. Payne to comply with Section 409A of the Internal Revenue Code of 1986, as amended. A copy of the agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.

The Continued Dumping and Subsidy Offset Act of 2000 (CDSOA) provides for the distribution of monies collected by U.S. Customs and Border Protection from antidumping cases to qualified domestic producers, in cases where domestic producers have continued to invest in their technology, equipment and people. During December 2008, the Company has received CDSOA payments, and expects to receive other related settlement payments, net of related fees, in an amount of approximately $11 million in connection with the case involving wooden bedroom furniture imported from China.
