Item 2.02 Results of Operations and Financial Condition.

On December 9, 2008, EasyLink Services International Corporation (the "Company") announced the results of operations for its first fiscal quarter ended October 31, 2008. A copy of the Company's press release announcing such results dated October 9, 2008 is attached hereto as Exhibit 99.1.
