Item 5.03 Amendments to Articles of Incorporation or By-Laws
On December 9, 2008, at a Special Meeting of Shareholders, the Shareholders of
Dearborn Bancorp, Inc. approved an amendment to the Corporation's Articles of
Incorporation to authorize the issuance of up to 5,000,000 shares of preferred
stock. A copy of the amendment is attached as Exhibit 99.
The information in this Form 8-K and the attached Exhibit shall not be deemed
filed for purposes of Section 18 of the Securities Act of 1934, nor shall it be
deemed incorporated by reference in any such filing under the Securities Act of
