Item 8.01. Other Events.

On December 8, 2008, Ventas, Inc. (the "Company") announced that its Board of Directors declared a regular quarterly dividend of $0.5125 per share, payable in cash on December 30, 2008 to stockholders of record on December 19, 2008. The dividend is the fourth quarterly installment of the Company's 2008 annual dividend.

A copy of the press release issued by the Company on December 8, 2008 is filed herewith as Exhibit 99.1 and incorporated in this Item 8.01 by reference.
