Item 8.01 Other Events.

On December 9, 2008, SunTrust Banks, Inc. ("SunTrust" or the "Registrant") announced its intention to issue additional shares of preferred stock to the U.S. Treasury under its Capital Purchase Plan. A copy of SunTrust's news release is attached hereto as Exhibit 99.1 and incorporated herein.
