On December 8, 2008, Foundry Networks, Inc. ("Foundry") issued a press release providing information regarding the declaration of its previously announced conditional special dividend payable to holders of shares of Foundry common stock immediately prior to the completion of the pending merger between Foundry and a wholly owned subsidiary of Brocade Communications Systems, Inc. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
