Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 2, 2008, Anthony J. Huck, upon mutual agreement with Investment Technology Group Inc. (the "Company"), resigned from his position as a Managing Director. This resignation will be effective December 15, 2008. The Company and Mr. Huck are currently discussing the terms of a separation agreement.
