Item 8.01. Other Events.
On December 4, 2008, Material Sciences Corporation (the "Company") entered into
a written trading plan with First Analysis Corporation ("First Analysis") under
Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, as part of the
Company's existing share repurchase program. The Rule 10b5-1 share purchases by
First Analysis are expected to commence on December 5, 2008.
The Company has previously repurchased approximately 131,000 shares of the one
million shares authorized for repurchase on January 7, 2008.
