Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 1, 2008, the Board of Directors of Timberland Bancorp, Inc. ("Company") amended the Company's Bylaws to reduce the number of members of the Board of Directors from eight to seven. The amendments are effective December 1, 2008.

Also, on December 1, 2008 Timberland Bank ("Bank") announced that the Board of Directors of the Bank amended the Bylaws by reducing the number of members of the Board of Directors from eight to seven effective December 1, 2008.
