Item 8.01 Other Events.

On November 30, 2008, Avnet issued a press release announcing that it has entered into an agreement to acquire Nippon Denso Industry Co., Ltd. of Japan ("NDI") through its subsidiary, Avnet Japan Co., Ltd. NDI is a Tokyo-based, value-added distributor of electronic components. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
