Item 1.01 Entry into a Material Definitive Agreement.
On November 24, 2008, the Company entered into a License Agreement with LifeNet
Health, Inc. to license from LifeNet Health certain intellectual property rights
that may be used in or useful to the Company's tissue processing efforts. The
term of the License Agreement is for seven years or the remaining life of any
patent covered by the License Agreement, whichever is longer. Total monetary
consideration for the License Agreement is $4,900,000, to be paid in five annual
installments of $980,000 in each of November 2008, 2009, 2010, 2011 and 2012.
