Item 3.02 Unregistered Sales of Equity Securities
On November 24, 2008, pursuant to our 2001 Stock Option and Stock Incentive
Plan, we granted to certain employees and others who provide services to us an
aggregate of 358,600 shares of common stock, par value $0.01 per share, valued
at $1.10 per share (the closing price of our common shares on the NYSE Alternext
US on that day). We made these grants pursuant to an exemption from registration
contained in Section 4(2) of the Securities Act of 1933, as amended.
