Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On November 25, 2008, OMNOVA Solutions Inc. (the "Company") was notified by the New York Stock Exchange, Inc. ("NYSE") that it is not in compliance with Rule 802.01C of the NYSE's Listed Company Manual relating to the average minimum share price required over a consecutive 30 trading day period.

In accordance with NYSE rules, the Company intends to notify the NYSE within 10 business days of its intent to cure the deficiency and return to compliance with the listing standards within the six month cure period provided by NYSE rules, or by May 25, 2009. During this time the Company's common stock will continue to be listed on the NYSE, subject to the Company's compliance with other NYSE continued listing requirements.

As required under NYSE rules, the Company issued a Press Release on November 28, 2008, announcing that it had received the notice and that the Company intends to cure the deficiency. A copy of this press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
