(b) On November 21, 2008, Joseph McCullough, Group President of St. Jude
Medical, Inc. ("the Company"), was appointed on an interim basis to the
additional role of Interim President of the United States Division of the
Company, effective immediately. He succeeds George Fazio, who notified the
Company on November 21, 2008 that, for personal reasons, he was stepping down
from the role as President of the United States Division of the Company,
effective immediately. Mr. Fazio is transitioning to a different role within the
Company's Corporate Division based in St. Paul, Minnesota.
