Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 19, 2008, the Board of Directors of Versar, Inc. extended the term
of the Employment Agreement with Dr. Theodore M. Prociv, President and CEO (the
"Agreement"), for an additional year. Dr. Prociv's annual base salary was
increased to $355,000 per the decision of the compensation committee on
September 3, 2008, as previously reported. All other terms of the Agreement
remain unchanged except that of Dr. Prociv's annual base salary.
