(d) As disclosed in the Company's Current Report on Form 8-K filed on October 6, 2008, the Company's Board of Directors previously announced that it had elected Jeffrey A. Rein as a member of the Board of Directors, effective December 9, 2008. On November 17, 2008, the Board of Directors received notice from Mr. Rein that although he remains interested in corporate board service, in light of the recent change in his employment status, he was withdrawing his acceptance of a position on the Company's Board of Directors, effective as of such date.
