On November 18, 2008, First National Bancshares, Inc. (NASDAQ: FNSC) (the "Company") announced that, at a special shareholder meeting held on November 14, 2008, the Company received approval from its Series A Preferred shareholders to issue a new class of preferred stock to the U.S. Department of the Treasury (the "Treasury") pursuant to the Treasury's Capital Purchase Program. The new class of preferred stock will have cumulative dividend rights which required the approval of at least 66 2/3% of the Series A Preferred shares outstanding under the terms of the Certificate of Designation for the Series A Preferred Stock offering.
