ITEM 1.01. Entry into a Material Definitive Agreement
a) On November 19, 2008, the Registrant's Board of Directors revised the Frozen Food Express Industries, Inc. 2005 Non-Employee Director Restricted Stock Plan (Amended and Restated). The purpose of the revision is to provide that the plan is to be administered by a committee comprised solely of independent directors. No other terms or features of the plan have been changed or amended.
A copy of the Frozen Food Express Industries, Inc. 2005 Non-Employee Director Restricted Stock Plan (Amended and Restated) is filed herewith as Exhibit 10.1.

On November 19, 2008, the Registrant's Board of Directors declared a quarterly cash dividend of $0.03 per share of the Registrant's Common Stock to be paid on December 16, 2008 to holders of record as of December 1, 2008.
