Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 14, 2008, Time Warner Cable Inc. (the "Company") renewed its
employment agreement with Carl U.J. Rossetti that extends the term of Mr.
Rossetti's employment as Executive Vice President, Corporate Development through
December 31, 2011 on substantially the same terms as his earlier agreement.
Pursuant to the terms of the employment agreement, failure by either the Company
or Mr. Rossetti to renew the contract each November will trigger severance
payments under the agreement.
