Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 17, 2008, the employment of John A. McCarthy, Jr., Executive Vice President and Chief Financial Officer of Verenium Corporation, was terminated. Jeffrey Black, who has been Vice President and Chief Accounting Officer of Verenium since April of 2005, has been named interim Chief Financial Officer while the Company conducts a search for a replacement. Mr. Black, age 40, joined Verenium from Isis Pharmaceuticals where he served as Executive Director and Corporate Controller since 2003. Prior to joining Isis, Mr. Black served as a principal and Interim Financial Executive for Regent Pacific Management Corporation, a financial advisory firm. Mr. Black, a certified public accountant with over 17 years of experience in accounting, finance, and operations management, began his career at Ernst & Young.
