On November 12, 2008, the Board of Directors of SI International, Inc., a Delaware corporation approved the Amended and Restated SI International Non-Qualified Deferred Compensation Plan (the "Plan") in order to provide for certain changes to the operation of the Plan, to add certain provisions required or permitted under Section 409A of the Internal Revenue Code, as amended, and to provide for a new third party Plan administrator. The foregoing is qualified in its entirety by reference to the full text of the Plan, which is attached hereto as Exhibit 10.1 and is incorporated by reference herein.
