ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On November 18, 2008, Merrimac Industries, Inc. (the "Company") issued a press release announcing that the Company is restating its financial statements for the second quarter and six months ended June 28, 2008 and that its previously filed financial statements for the second quarter and six months ended June 28, 2008 should no longer be relied upon. The entire text of the press release is furnished as Exhibit 99.1.

On November 18, 2008, the Company issued a press release announcing results of operations for the third quarter and nine months ended September 27, 2008. The entire text of the press release is furnished as Exhibit 99.2.
