Item 8.01 Other Events.
On November 17, 2008, USA Mobility, Inc. (the "Company") announced that it has
purchased 4,020,797 shares of its common stock. The shares were purchased in a
private aftermarket block transaction at a price of $8.75 per share for a total
of approximately $35.2 million. The $8.75 per share price compares to the
Company's closing price per share of $9.55 on November 14, 2008. The full text
of the press release issued in connection with the repurchase is attached as
Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this
Item 8.01 by reference.
