The Board of Directors of LodgeNet Interactive Corporation (the "Company") adopted an amendment to Sections 2.16 and 2.17 of the Company's Bylaws to update the advance notice provisions related to shareholder nominations and business proposals. A copy of the Amended and Restated Bylaws is attached hereto as Exhibit 3.2.
