Item 1.01. Entry into a Material Definitive Agreement.
On November 12, 2008, Comprehensive Care Corporation's (the "Company") principal operating subsidiary, Comprehensive Behavioral Care, Inc. ("CBC"), entered into a lease agreement (the "Lease") with Highwoods/Florida Holdings, L.P. (the "Landlord") for premises located at 3405 West Dr. Martin Luther King Jr. Blvd., Suite 101, Tampa, Florida 33607 (the "Leased Premises"). This Lease is replacing an existing lease that expires on December 31, 2008. The Leased Premises are currently the principal business and executive offices of both CBC and the Company. CBC is the principal lessee under the Lease.
The Leased Premises consist of approximately 18,489 rentable square feet. The Lease is for a term of 2 years, which term commences on January 1, 2009 (the "Lease Term"), and provides for a base rent of $35,437.25 per month for the first 12 months and a final monthly rental of $36,978.00 for the last 12 months of the Lease Term. The base rent is subject to adjustment for additional rent equal to the Company's proportionate share of the landlord's operating expenses. In connection with its leasing of the Leased Premises, the Company is required to post a lease security deposit with the Landlord in the amount of $75,835.72. Item 9.01.
