Item 5.05 Amendments to the Registrant's Code of Ethics, or Waiver of a
Provision of the Code of Ethics.
On November 9, 2008, the Audit Committee of the Board of Directors of Delta
Petroleum Corporation (the "Company") waived the potential application of the
Company's Code of Business Conduct and Ethics to an unsecured personal loan to
be made by Tracinda Corporation to Roger A. Parker, the Company's Chairman and
Chief Executive Officer. The loan, which occurred on November 10, 2008, does not
involve the Company or any Company funds.
