Item 2.02 Results of Operations and Financial Condition.

On November 7, 2008, the Company issued a press release entitled "Double Eagle Petroleum Co. Reports Record Third Quarter Results". The press release contains certain non-GAAP financial information. The reconciliation of such non-GAAP financial information to GAAP financial measures is included in the press release. The press release is attached as Exhibit 99.1 hereto.
