Item 8.01. Other Events.

On November 11, 2008, Eagle Test Systems, Inc. (the "Company") issued a press release to announce that the U.S. Department of Justice granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the previously announced merger agreement among the Company, Teradyne, Inc. ("Teradyne") and Turin Acquisition Corp., a Delaware corporation and a wholly owned subsidiary of Teradyne. The Company also announced that the merger is expected to close on or about November 18, 2008, and that it has obtained all necessary consents required to close the transaction on such date. A copy of the press release is attached as Exhibit 99.1 hereto.
