(d) In order to fill the vacancy created by the resignation of Jeffrey G.
Edwards, on November 4, 2008, the Board of Directors of Brookdale Senior Living
Inc. (the "Company") elected James R. Seward as a Class II director, to serve
until the Company's 2010 Annual Meeting of Stockholders and until his successor
is duly elected and qualified. Mr. Seward has also been appointed to serve as a
member of the Company's Audit Committee.
There are no transactions, relationships or arrangements involving Mr. Seward
that are required to be disclosed pursuant to Item 404(a) of Regulation S-K. A
description of the compensation payable to members of the Company's Board of
Directors generally was included in the Company's Proxy Statement filed with the
Securities and Exchange Commission on April 29, 2008.
