ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION AND EXHIBITS

On November 6, 2008 Public Storage announced its financial results for the quarter ended September 30, 2008. The full text of the press release issued in connection with the announcement is filed as Exhibit 99.1 to this Current Report on Form 8-K.



ITEM 7.01 REGULATION FD DISCLOSURE

On November 6, 2008, Public Storage announced a special dividend of $0.60 per common share. The dividend is payable together with the regular quarterly dividend on common shares on December 30, 2008 to shareholders of record on December 15, 2008. The announcement is included in the text of the press release furnished as Exhibit 99.1 to this Current Report on Form 8-K.
