Item 2.02 Results of Operations and Financial Condition.

On November 6, 2008, Hythiam, Inc. issued a press release announcing its financial results for its third quarter ended September 30, 2008. Portions of the press release have been corrected and the revised press release furnished herewith replaces and supersedes the November 6, 2008 press release in its entirety. The full text of the Company's revised press release, dated November 7, 2008, is furnished herewith as Exhibit 99.1.
