On November 7, 2008, Registrant issued a press release announcing it has
settled all of the shareholder litigation regarding its impending merger with
InBev N.V./S.A. A copy of the press release is furnished as Exhibit 99.1 to this
report and is incorporated herein. A copy of the Stipulation and Agreement of
Compromise, Settlement and Release filed in the Delaware Chancery Court on
October 22, 2008 is furnished as Exhibit 99.2 to this report and is incorporated
herein.
