Item 2.02. Results of Operations and Financial Condition

On November 5, 2008, the Company issued a press release containing financial results for the quarter ended September 30, 2008. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. The Company plans to host a teleconference and webcast at 10:00 a.m. MST on Wednesday, November 5, 2008 to discuss these results. The webcast may be accessed at the Company's website (www.billbarrettcorp.com). The Company also plans to have a slide show presentation available for listeners to its teleconference, which is furnished as Exhibit 99.2 to this Current Report on Form 8-K.
