Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.
On November 5, 2008 AGL Resources Inc. ("AGL") announced that Kevin P. Madden
will retire as Executive Vice President, External Affairs, effective as of March
1, 2009 (the "Retirement Date"). Following the Retirement Date, it is expected
that Mr. Madden will provide consulting services to AGL for a period of time.
AGL and Mr. Madden currently are negotiating the terms of a retirement and
consulting agreement, which will be disclosed in a future filing on Form 8-K.
